Terms of Use — CareGap, Inc.

This Terms of Use agreement ("Agreement") is entered into between you ("you" or "User") and CareGap, Inc. ("CareGap", "Company", "we", or "us"), governing your access to and use of our platform and related services.

By continuing to use our website, applications, or services ("Platform"), you acknowledge that you have read, understood, and agreed to be bound by this Agreement.

1. Definitions

• Platform: CareGap's digital services for accessing lab-related tools and content.
• Account: A user profile with login credentials to access the Platform.
• Laboratory Services: Services such as lab tests, kit delivery, and results reporting provided by independent third parties.
• Patient User: A person receiving Laboratory Services via the Platform.
• Private Information: Health and personal data protected under HIPAA and other applicable laws.
• Services: Licensed access to use the Platform and related features.
• User: Any individual or entity that registers an Account on the Platform.

2. License & Eligibility

We grant you a limited, revocable, non-transferable license to use the Platform. You confirm:

• You are not misrepresenting your identity.
• You have authority to bind your organization, if applicable.
• If accessing the Platform on behalf of a minor, you have legal authority to do so.
• You are responsible for securing your credentials and any activity on your Account.

3. Acceptable Use & Restrictions

You agree not to:

• Use bots, scrapers, or other automated tools without authorization.
• Engage in fraudulent, abusive, or illegal activity on the Platform.
• Transmit malware, spam, or offensive content.
• Disrupt the Platform's operation or violate intellectual property rights.

4. Use of Information

You authorize us to use and share your information as needed to deliver Services. This may include de-identified data for lawful use. You accept the risks of electronic communication and can opt out by deactivating your Account.

5. Lab & Medical Disclaimers

CareGap does not provide medical services. Any healthcare or lab services accessed via the Platform are performed by independent third parties. Always consult a healthcare provider for medical concerns.

6. Platform Limitations

The Platform is provided "as is" without warranties. We may limit or suspend access without notice and are not responsible for service interruptions or data loss.

7. Privacy Policy

Your use of the Platform is subject to our Privacy Policy. Users must comply with all applicable privacy laws.

8. Fees & Transactions

Fees are disclosed on the Platform or in your separate agreement. We may require billing details and reserve the right to reject transactions.

9. Intellectual Property

All content and technology on the Platform is owned or licensed by CareGap. You may not reproduce or use our materials without written permission.

10. Copyright Policy

If you believe your content is misused, contact us at support@caregap.io or 514 N Quaw Blvd, Belgrade, MT 59714 with relevant information as required by the DMCA.

11. Feedback

By submitting suggestions, you grant us a perpetual, royalty-free license to use your feedback for any purpose.

12. Limitation of Liability

We are not liable for any indirect or consequential damages. If liability is found, damages are limited to what you paid in the past year.

13. Indemnification

You agree to defend and indemnify CareGap against any claims related to your use of the Platform or violation of this Agreement.

14. Dispute Resolution

All disputes will be resolved through binding arbitration in Gallatin County, Montana, under AAA rules. You waive jury trials and class actions.

15. Governing Law

This Agreement is governed by the laws of Montana and applicable U.S. federal laws.

16. Termination & Modification

We may change or suspend the Platform at any time. Your continued use after changes means you accept the new terms.

18. Entire Agreement

This is the complete agreement between you and CareGap. If any part is unenforceable, the rest remains valid.
